Merchant Terms of Service
Version 1.9 — effective 1 October 2026
These Terms govern the relationship between UniCraic Limited and any business listing on the UniCraic platform. They are a business-to-business agreement. They do not govern UniCraic's relationship with app users, which is covered by the separate Terms & Conditions.
Please read clauses 11 and 12 in particular
Your attention is specifically drawn to
clause 11 (Warranties and disclaimers) and
clause 12 (Liability and indemnity). Between them they exclude the terms that would otherwise be implied into this agreement by law, state that UniCraic gives no guarantee of footfall, redemptions or any other commercial outcome, limit UniCraic's total liability to you, and require you to indemnify UniCraic in the circumstances set out in clause 12.2. These provisions affect what you can recover if something goes wrong. If anything in them is unclear, ask us before you accept, or take your own advice.
1. Definitions
"UniCraic", "we", "us" — UniCraic Limited, a company registered in Ireland, company number 820740.
"Merchant", "you" — the business entity that creates a Merchant Account and accepts these Terms.
"Platform" — the UniCraic mobile applications, the merchant dashboard, and associated services.
"User" — an individual using the UniCraic mobile application.
"Listing" — a Deal, business profile, opening hours, images, or Event published by or on behalf of the Merchant.
"Deal" — a discount, offer or promotion the Merchant makes available to Users.
"Subscription" — the Merchant's paid plan, being either Standard or Premium.
"Additional Location" — a premises of the Merchant, other than its main address, added to the Merchant Account under clause 7.11.
"Free Period" — the first month following the day the Merchant's first Deal is published on the Platform, during which no Subscription fee is charged.
2. Formation and acceptance
2.1 These Terms are accepted when an authorised representative of the Merchant applies for a Merchant Account by any means UniCraic makes available, having been given the opportunity to read these Terms. Acceptance is recorded with a timestamp and the version of these Terms then in force. Where an application is made other than through UniCraic's online form, UniCraic will record the version provided to the Merchant and the date it was accepted.
2.2 Submitting an application is an offer to contract. This agreement is formed when UniCraic activates the Merchant Account, and not before. UniCraic is under no obligation to accept any application and may decline without giving reasons.
2.3 The individual accepting these Terms warrants that they are authorised to bind the Merchant.
2.4 Business capacity. The Merchant enters into this agreement wholly for the purposes of its trade, business, craft or profession, and not as a consumer. The Merchant acknowledges that consumer protection legislation does not apply to this agreement.
2.5 Entire agreement and non-reliance. These Terms, together with the Schedules, constitute the entire agreement between the parties in relation to their subject matter, and supersede all prior representations, proposals, statements and marketing materials. The Merchant confirms that it has not relied on any statement, representation or assurance not expressly set out in this agreement. Nothing in this clause limits liability for fraud or fraudulent misrepresentation.
3. Eligibility
3.1 The Merchant must be a genuine trading business, lawfully established, supplying goods or services to students in a location or market UniCraic serves.
3.2 The Merchant must hold all licences, registrations and consents required to supply the goods or services it offers, and must maintain them for the duration of this agreement. Where a Deal concerns alcohol, food, or any regulated activity, compliance with the applicable regulatory regime is the Merchant's responsibility alone.
3.3 A Merchant Account covers one trading location. A business operating from more than one location requires a separate Merchant Account and Subscription for each, unless UniCraic agrees otherwise in writing. Additional user logins may be created by UniCraic at the Merchant's request; the Merchant remains responsible for all activity under its Account.
3.4 The Merchant must keep its account details, including its billing contact, accurate and current.
3.5 The Merchant must hold public liability insurance of not less than €2.6 million and, where it supplies food, drink or goods, product liability insurance of not less than €2.6 million, and must produce evidence of cover on reasonable request.
4. The Platform
4.1 UniCraic provides a listing and discovery platform. UniCraic does not sell, supply or fulfil the goods or services offered in any Deal, and is not an agent, partner, or joint venturer of the Merchant.
4.2 UniCraic will use reasonable efforts to keep the Platform available but does not warrant uninterrupted or error-free operation. Scheduled maintenance, third-party outages, app store review processes and network failures are outside UniCraic's control.
4.3 UniCraic may change, add to or withdraw Platform features. Where a change materially reduces the functionality of the Merchant's current plan, UniCraic will give 30 days' notice, and the Merchant may terminate under clause 8.2 before the change takes effect.
4.4 The features available on each plan are set out in Schedule 1.
4.5 Non-exclusive. This agreement is non-exclusive in both directions. The Merchant may offer the same or different deals through any other channel, and UniCraic may list any number of businesses, including competitors of the Merchant, in the same category and location. No exclusivity, category protection or minimum share of placement is granted unless separately agreed in writing.
5. Listings and Deals — Merchant obligations
5.1 The Merchant must honour every published Deal exactly as it is written, to any User who presents it, throughout the period the Deal is published. Where UniCraic has edited a Listing under clause 6.2 and the edit has altered the commercial substance of the Deal, the Merchant may withdraw or correct it on notice to UniCraic without breaching this clause. That right must be exercised before the Merchant declines to honour the Deal for any User; it is not a defence to a refusal already made.
5.2 All conditions, exclusions and restrictions must be stated within the Deal itself. A condition that is not published may not be applied at the point of sale. This includes, without limitation: minimum spend, excluded items, excluded times or days, student identification requirements, and limits per customer or per visit.
5.3 The Merchant must not require a User to make any purchase, disclose personal information, or take any step not disclosed in the published Deal in order to redeem it.
5.4 The Merchant warrants that all content it submits is accurate, not misleading, lawful, and that it holds all rights necessary to publish it.
5.5 Where a Deal can no longer be honoured, the Merchant must withdraw or amend it promptly through the dashboard. Leaving an unhonourable Deal published is a material breach.
5.6 The Merchant must not submit content that is unlawful, discriminatory, defamatory, obscene, or that infringes any third party's rights.
5.7 The Merchant must treat Users courteously and must not treat a User less favourably because they are redeeming a Deal.
5.8 Deal quality standards are set out in Schedule 2. A Listing that does not meet them may be rejected or removed.
5.9 Deals outstanding at termination. Where a Deal was published before this agreement ended, the Merchant must continue to honour it for seven days after the Listing is withdrawn, or until the Deal's stated end date, whichever is earlier. This protects Users who saved a Deal in good faith before it disappeared.
6. Approval, moderation and removal
6.1 Deals and Events are reviewed before publication. A Deal or Event submitted through the dashboard is queued and is not published until UniCraic has approved it, and submission does not guarantee publication. Other Listing content — the business profile, address, opening hours, contact details and images — publishes immediately, and UniCraic may review, edit or remove it at any time under clause 6.2. The Merchant remains responsible under clause 5.4 for all content it publishes, whether or not UniCraic has reviewed it. UniCraic may change this process at any time, including by publishing some or all Listings without prior review, on notice under clause 4.3.
6.2 UniCraic may, at its discretion and at any time: reject a Listing; edit a Listing for clarity, length, formatting or house style without altering its commercial substance; suspend a Listing; or remove a Listing.
6.3 UniCraic may determine the placement, prominence and ordering of Listings, including which Listings appear in Top Picks. Top Picks holds a limited number of Listings, shown in a rotation that changes daily, so no Listing, including a Premium Listing, is guaranteed to appear in it on any given day. Otherwise, placement is not guaranteed and forms no part of the Subscription unless separately purchased in writing.
6.4 Removal or non-publication of a Listing does not entitle the Merchant to a refund or a fee reduction, except where UniCraic terminates without cause under clause 8.3.
6.5 Where UniCraic removes a Listing other than for breach, it will notify the Merchant and, where practicable, explain why.
7. Fees, term and payment
7.1 Plans and prices are set out in Schedule 1. As at the version date: Standard €25 per month and Premium €34 per month, plus €20 per month for each Additional Location (Premium only, clause 7.11).
7.2 VAT. Where UniCraic is not registered for VAT, no VAT is chargeable and the price in Schedule 1 is the total amount payable. Where UniCraic is or becomes registered for VAT, VAT is charged in addition at the prevailing rate and shown separately on the invoice; if that increases the total payable by an existing Merchant, UniCraic will give 30 days' notice under clause 7.7 before it takes effect. UniCraic's VAT status at any time is shown on its invoices.
7.3 The first month is free. The Free Period begins on the day the Merchant's first Deal is published on the Platform, not on activation of the Merchant Account, so time spent setting up does not use it. No fee is charged before or during the Free Period. A valid payment method must be provided before the Merchant's first Deal is published; it is not charged before or during the Free Period, and the Subscription begins on the day the Free Period ends. The Free Period is available once only, per Merchant and per trading location. UniCraic may decline to grant it to a business that has previously held one, or to a business under substantially the same ownership or control as a business that has.
7.4 After the Free Period the Subscription is rolling and monthly. There is no minimum term and no fixed-term commitment. Fees are payable monthly in advance by card through UniCraic's payment processor, or by such other method as UniCraic notifies the Merchant.
7.5 Cancellation. The Merchant may cancel at any time, by written notice to UniCraic or through any cancellation control UniCraic provides in the dashboard. Cancellation takes effect at the end of the month already paid for, and the Listing remains live until that date. Cancellation during the Free Period takes effect at the end of the Free Period: the Listing remains live until then and no fee becomes payable.
7.6 No refunds. Fees already paid are not refundable in whole or in part, including for a partial month, save where clause 8.3 applies.
7.7 Price changes. UniCraic may change its prices on 30 days' written notice to the Merchant's registered billing contact. The Merchant may cancel under clause 7.5 before the new price takes effect; continuing after that date is acceptance of it.
7.8 Failed payment. A Listing is shown only while the Subscription is paid, or during the Free Period. If a payment fails, the Listing is hidden from students straight away and is restored as soon as payment succeeds. UniCraic will notify the Merchant and may attempt collection again. The Merchant Account and its data are retained. UniCraic may terminate under clause 8.4 if payment remains outstanding after 30 days. Where a payment is reversed, recalled or charged back after the Listing has been provided, the Merchant remains liable for the amount and for any fee charged to UniCraic by its payment processor as a result, and UniCraic may suspend the Listing immediately.
7.9 Late payment. UniCraic reserves its rights under the European Communities (Late Payment in Commercial Transactions) Regulations 2012 to charge interest and recovery costs on overdue amounts.
7.10 The Merchant is responsible for all taxes arising from its own supply of goods or services to Users.
7.11 More than one location. A Merchant that trades from more than one premises lists them on one Merchant Account, not as separate accounts, unless UniCraic agrees otherwise. Each premises other than the main address is added in the dashboard as an Additional Location. Additional Locations are available on Premium only, and each is charged at the price in Schedule 1, on the same monthly bill as the Premium Subscription. An Additional Location added part-way through a billing month is charged pro rata for the rest of that month, and one removed part-way through is credited pro rata; clause 7.6 does not prevent that credit. Additional Locations have no Free Period of their own, but none is charged while the Merchant's own Free Period runs. The Merchant's main Deal is shown at every Additional Location that has no Deal of its own, and each Additional Location may have one Deal of its own, shown there in place of the main Deal. If the Merchant moves to Standard, Additional Locations stop being shown and charged; they are kept on the Merchant Account and shown again if the Merchant returns to Premium.
8. Suspension and termination
8.1 This agreement continues until terminated in accordance with this clause.
8.2 The Merchant may terminate at any time under clause 7.5.
8.3 UniCraic may terminate without cause on 30 days' written notice. In that case UniCraic will refund any fee paid in respect of the period after termination takes effect, calculated pro rata.
8.4 UniCraic may terminate or suspend without refund — and, except where a sub-clause below states a notice or cure period, immediately and without notice — where the Merchant:
- repeatedly fails to honour a published Deal, honours a Deal only on undisclosed conditions, or fails to remedy a single such failure within 7 days of written notice;
- publishes content that is unlawful, misleading, or infringing;
- treats a User or UniCraic personnel abusively;
- fails to pay following the process in clause 7.8;
- ceases to trade, becomes insolvent, or has a receiver, examiner or liquidator appointed;
- breaches any other term of this agreement and, where the breach is capable of remedy, fails to remedy it within 14 days of written notice.
8.5 On termination: all Listings are withdrawn; the licences in clauses 10.2 and 10.5 end, save as provided in clauses 10.4 and 10.6; and accrued rights and liabilities survive.
8.6 The following survive termination: clauses 2.4, 2.5, 5.9, 7.6, 7.9, 7.10, 9, 10.3, 10.4, 10.6, 11, 12, 13, 15 and 18.
9. Data protection
9.1 Each party will comply with the General Data Protection Regulation (EU) 2016/679 and the Data Protection Acts 1988 to 2018.
9.2 UniCraic is the sole controller of Users' personal data. The parties acknowledge that, on the basis of the data actually shared under this agreement, the Merchant does not act as a processor of it. The parties recognise that these roles are determined by the reality of the processing rather than by agreement, and clause 9.4 governs any change.
9.3 The analytics UniCraic makes available to the Merchant are aggregated and anonymous. They are counts and derived measures, including impressions, views, saves, click-through rates, day-of-week distribution and, on Premium, a benchmark percentile against other merchants, together with any comparable measure UniCraic may add. No information identifying or capable of identifying an individual User is provided to the Merchant under these Terms, and the Merchant may not request it.
9.4 Should UniCraic offer any service involving User-level data, it will do so under a separate written agreement including data processing terms, entered into before any such data is provided.
9.5 UniCraic processes the Merchant's own business contact details in order to operate the Account, on the basis of performance of this contract. The Merchant is controller of those details.
9.6 Benchmarking. The Merchant agrees that data arising from its Listings — impressions, views, saves and derived rates — may be combined with that of other merchants and used, in aggregated and anonymised form from which the Merchant cannot be identified, to produce comparative benchmarks shown to other merchants and to improve the Platform. The Merchant receives the same benefit in return.
9.7 Retention. UniCraic may retain Merchant Account records, invoices and Listing history for up to seven years following termination, in order to meet statutory accounting and limitation-period requirements, after which they are deleted or irreversibly anonymised. Aggregated, anonymous data that cannot be attributed to the Merchant may be retained indefinitely.
9.8 Transfers. Merchant Account records, Listing data and invoices are stored within the European Economic Area: UniCraic's database is hosted in Ireland, its email provider sends from within the EEA, and its error-monitoring provider operates in the EU. UniCraic's content delivery network and its payment processor operate globally and may process data, including IP addresses and request metadata, outside the EEA under an appropriate transfer mechanism recognised by the GDPR.
9.9 Each party will notify the other without undue delay of any personal data breach affecting data shared under this agreement.
10. Intellectual property
10.1 The Merchant retains all rights in its trade marks, logos, images, copy and other materials it supplies ("Merchant Content").
10.2 The Merchant grants UniCraic a non-exclusive, royalty-free, worldwide licence to host, reproduce, resize, adapt for formatting, publish and display Merchant Content on the Platform and in UniCraic's marketing of the Platform, for the duration of this agreement.
10.3 The Merchant warrants that it owns or is licensed to grant the rights in clauses 10.2 and 10.6, and indemnifies UniCraic against any claim that Merchant Content infringes a third party's rights.
10.4 On termination the licence in clause 10.2 ends, save that UniCraic may retain and continue to use Merchant Content already incorporated into published marketing materials, and may retain archival copies for the retention period in clause 9.7.
10.5 UniCraic retains all rights in the Platform, the UniCraic name, marks, and all software and design. The Merchant may state that it is listed on UniCraic and use the UniCraic name for that purpose, in accordance with any brand guidance UniCraic supplies.
10.6 Screenshots and store assets. The Merchant grants UniCraic a perpetual, irrevocable, royalty-free licence to reproduce and display screenshots and depictions of the Platform that incidentally include Merchant Content, in app store listings, product documentation and marketing, including after termination. This is limited to depictions of the Platform in use and does not permit UniCraic to present the Merchant as a current partner after termination.
11. Warranties and disclaimers
11.1 Each party warrants it has the authority to enter into this agreement.
11.2 UniCraic gives no warranty, representation or guarantee as to footfall, redemptions, impressions, views, saves, sales, revenue or any other commercial outcome. No statement in UniCraic's marketing, on its website or made by its personnel constitutes such a guarantee. Measures reported to the Merchant describe activity within the Platform and are not, and should not be understood as, a count of completed transactions.
11.3 Save as expressly stated, all warranties, conditions and terms implied by statute or common law are excluded to the fullest extent permitted by law.
12. Liability and indemnity
12.1 The contract for the supply of goods or services under a Deal is between the Merchant and the User. UniCraic is not a party to it. The Merchant is solely responsible for the supply, quality, safety, description and legality of what it provides, and for any claim, refund or complaint arising from it.
12.2 The Merchant indemnifies UniCraic against all claims, losses, damages, costs and expenses arising from: its failure to honour a Deal; Merchant Content; its breach of this agreement; or its breach of any law or regulation.
12.3 Neither party excludes liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded.
12.4 Subject to clause 12.3, neither party is liable for loss of profit, loss of business, loss of goodwill, loss of anticipated savings, or any indirect or consequential loss.
12.5 Subject to clause 12.3, UniCraic's total aggregate liability is limited to the greater of (a) the fees paid by the Merchant in the twelve months preceding the claim, and (b) €500.
12.6 The limit in clause 12.5 applies to UniCraic's liability only. It does not limit the Merchant's obligations under clauses 10.3 and 12.2, or its obligation to pay the fees.
12.7 Conduct of indemnified claims. Where UniCraic seeks to rely on an indemnity in clause 10.3 or 12.2, it will: notify the Merchant in writing without undue delay; not admit liability or settle the claim without the Merchant's consent, such consent not to be unreasonably withheld or delayed; permit the Merchant to conduct the defence at the Merchant's own cost, provided the Merchant does so diligently and does not settle on terms adverse to UniCraic without UniCraic's consent; give the Merchant reasonable assistance at the Merchant's expense; and take reasonable steps to mitigate its loss. An indemnity does not extend to loss to the extent it was caused by UniCraic's own negligence or breach of this agreement.
13. Confidentiality
13.1 Each party will keep confidential any non-public information disclosed by the other and marked or reasonably understood to be confidential, and use it only for the purposes of this agreement.
13.2 This does not apply to information that is or becomes public other than by breach, was already lawfully held, is independently developed, or is required to be disclosed by law or a regulator.
13.3 This clause survives termination for three years.
14. Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including power or network failure, failure of a third-party hosting, payment or app-store provider, industrial action, epidemic, fire, flood, or government action. The affected party will notify the other and use reasonable efforts to mitigate. If the event continues for more than 30 days, either party may terminate on written notice.
15. Notices and complaints
15.1 Notices to the Merchant are validly given when sent to the email address registered on the Merchant Account, and are deemed received on the next business day.
15.2 Notices to UniCraic must be sent to partners@unicraic.ie and are deemed received on the next business day.
15.3 It is the Merchant's responsibility to keep its registered email address current.
15.4 Complaints. Before commencing proceedings, a party with a complaint will raise it in writing and both parties will attempt in good faith to resolve it within 30 days. This does not prevent either party seeking urgent injunctive relief, or UniCraic commencing proceedings to recover sums that are due and not disputed in good faith.
16. Assignment and subcontracting
16.1 The Merchant may not assign or transfer this agreement without UniCraic's prior written consent.
16.2 UniCraic may assign or transfer this agreement, in whole or in part, to any successor in title or acquirer of its business or assets, on written notice.
16.3 UniCraic may use subcontractors and third-party service providers (including hosting, payment and email providers) and remains responsible for their performance of this agreement, subject to clauses 4.2 and 12.
17. Changes to these Terms
17.1 UniCraic may amend these Terms on 30 days' written notice. The current version is published at unicraic.ie/merchant-terms with its version number and effective date.
17.2 Continued use of the Platform after the effective date is acceptance of the amended Terms. A Merchant that does not accept them may terminate under clause 7.5 before they take effect.
17.3 Changes to fees are governed by clause 7.7.
18. General
18.1 No partnership. Nothing creates a partnership, joint venture, agency or employment relationship.
18.2 Third parties. No person other than the parties has any right to enforce this agreement.
18.3 Severability. If any provision is held invalid or unenforceable, it is severed and the remainder continues in force.
18.4 Waiver. Failure or delay in enforcing a right is not a waiver of it.
18.5 Variation. Save as provided in clause 17, no variation is effective unless in writing and agreed by both parties.
18.6 Set-off. UniCraic may set off any amount owed to it by the Merchant against any amount it owes the Merchant. The Merchant must pay all sums due without set-off or deduction.
18.7 Governing law and jurisdiction. This agreement and any dispute arising out of it, whether contractual or non-contractual, is governed by the laws of Ireland, and the parties submit to the exclusive jurisdiction of the Irish courts.

Schedule 2 — Deal quality standards
A Listing may be rejected or removed if it does not meet these standards.
A Deal must
- Offer a genuine saving against the Merchant's normal price for the same item.
- State clearly what is included and what it costs.
- State every condition, exclusion, time restriction and limit within the Deal itself.
- Be available for the whole period published, during the Merchant's normal opening hours unless otherwise stated.
- Be capable of being understood without contacting the Merchant first.
A Deal must not
- Be conditional on a purchase, sign-up or disclosure not stated in the Deal.
- Advertise a saving against an inflated, notional or short-lived "usual" price.
- Require the User to buy an unrelated item to qualify, unless stated.
- Be so restricted in time, quantity or eligibility that it is not realistically obtainable.
- Promote irresponsible consumption of alcohol, or target alcohol promotions at persons under 18.
UniCraic will generally decline Deals below a meaningful saving. A discount too small to change a student's decision costs the Merchant its listing quality and costs UniCraic its credibility with Users, which is the asset both parties depend on.
